01Acceptance

These terms apply to prometheuslabscom.com, run by Prometheus Labs LLC ("Prometheus Labs", "we", "us"). By using the site, you agree to them. If you do not agree, please do not use the site.

02This website is informational

The site describes Prometheus Labs and River. Descriptions, examples and animations are illustrations, not a promise of specific features, results or availability.

03Using River

Access to River is available only to brokerages that sign a customer agreement with us. That agreement, including its order form, governs River and the data processed in it. If it conflicts with these terms, the customer agreement wins. How we handle information is described in our Privacy Policy.

04Acceptable use

When using the site, please do not:

• break the law or infringe anyone's rights;
• try to gain unauthorized access to the site, River or our systems, or test their security without our written permission;
• disrupt or overload the site, or introduce malware;
• scrape or copy the site in bulk, or use it to build a competing product;
• misrepresent your identity or your connection with Prometheus Labs.

05Intellectual property

The site and its content, including text, design, graphics, animations and code, belong to Prometheus Labs or its licensors. "Prometheus Labs", "River" and their logos are our marks. You may view the site and share links to it, but you may not copy, modify or reuse its content or marks without our written permission. Third-party software and fonts used on the site remain under their own licenses.

06No professional advice

Nothing on this site is insurance, legal, tax, financial or regulatory advice. Prometheus Labs is a software company, not an insurance producer, carrier or law firm. River is a tool that helps licensed professionals with their work; decisions about coverage, placement and advice to clients remain theirs.

07Disclaimers

The site is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the site will be uninterrupted, error-free or current.

08Limitation of liability

To the fullest extent the law allows, Prometheus Labs LLC and its members, managers, employees, contractors and agents ("the Prometheus Labs parties") will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, business or goodwill, arising out of or relating to this website, its content or these terms, however caused and under any theory of liability (contract, tort including negligence, strict liability or otherwise), even if we were told such damages were possible.

Liability cap. To the fullest extent the law allows, the total liability of the Prometheus Labs parties for all claims arising out of or relating to this website or these terms is limited to one hundred U.S. dollars (US$100). These limits apply even if a remedy fails of its essential purpose. Some places do not allow certain limits, so some of them may not apply to you. Liability in connection with River is set out only in the customer agreement.

Indemnity. You will defend, indemnify and hold harmless the Prometheus Labs parties from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your use or misuse of this website, your breach of these terms, or your violation of any law or third-party right. We may take control of the defense of any such claim at your expense, and you will cooperate with us.

If the site links to other websites, we do not control them and are not responsible for their content or practices. Their own terms and policies apply.

10Governing law and disputes

Governing law. These terms, and any dispute arising out of or relating to them or to this website, are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-law rules.

Binding arbitration. Please read this carefully: it affects your rights. Any dispute, claim or controversy arising out of or relating to these terms or this website, including their formation, scope, validity or enforceability, will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (or, where they apply by law, its Consumer Arbitration Rules), before a single arbitrator. The arbitration will take place in Dover, Delaware, or by video or written submissions where the arbitrator allows. The arbitrator's award is final and may be entered in any court with jurisdiction. Proceedings and results are confidential except as needed to enforce an award or as the law requires.

Class action and jury waiver. Disputes will be resolved only on an individual basis. You waive any right to bring or take part in a class, collective, consolidated or representative action or arbitration, and you waive any right to a jury trial. The arbitrator may not combine claims of more than one person or award relief on a class basis.

Exceptions. Either party may bring an individual claim in small-claims court. Prometheus Labs may seek injunctive or other equitable relief in court to protect its intellectual property, confidential information or the security of its systems. Any such court action, and any action to enforce an award, will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.

Time limit. To the fullest extent the law allows, any claim arising out of or relating to this website or these terms must be filed within one (1) year after it arises, or it is permanently barred.

If the class action waiver is found unenforceable for a claim, that claim (and only that claim) will be decided in the Delaware courts named above, not in arbitration. If any other part of these terms is found unenforceable, the rest stays in effect.

11Changes

We may update these terms. The new version takes effect when posted here with a new "Last updated" date. Continuing to use the site after that means you accept the update.
